1. Company Overview
Smartcode LLC is a web agency that offers:
- Custom Website Development
- Graphic Design Services
- Subscription Plans for Pre-Designed WordPress Websites
These Terms govern all interactions, transactions, and use of services provided by Smartcode LLC.
2. Custom Website Development
Clients may engage Smartcode LLC to develop custom websites tailored to their business needs. The scope of the project, timeline, and pricing will be detailed in a written proposal or agreement before any work begins.
Ownership & Usage:
Upon full payment, the client owns the final website content and design delivered, excluding any third-party tools, frameworks, or proprietary code.
Smartcode reserves the right to showcase completed work in our portfolio unless otherwise agreed.
3. Graphic Design Services
Smartcode LLC also provides professional graphic design services, including but not limited to:
- Branding & Logos
- Marketing Materials
- Digital Assets for Web & Social Media
All designs are delivered in industry-standard formats. Final files are provided upon project completion and full payment.
4. Pre-Designed Website Subscription Service
Smartcode offers a subscription-based service for access to professionally designed WordPress websites. This service includes:
- Access to a library of pre-designed WordPress websites
- Hosting on Smartcode's secure servers
- SSL certificate
- Regular updates to WordPress core, approved plugins, and themes
Subscriber Rights & Usage:
- Subscribers can choose and customize any pre-designed website available through their plan.
- As long as your subscription is active, you can use and edit your selected website.
- The website design, proprietary themes, and Smartcode-developed plugins are licensed to you only during the subscription period.
Restrictions:
- Migration: Websites under this plan cannot be moved to a third-party host.
- Plugin Limitations: Only plugins approved and installed by Smartcode are allowed. This ensures compatibility and system stability.
- Prohibited Plugins: Migration tools, file manager plugins, and backup plugins are strictly prohibited.
- No Admin Plugin Access: Clients will not have direct access to install, remove, or modify plugins or core system files.
5. Payments and Billing
Custom Projects:
- Custom projects are billed based on agreed milestones or a fixed scope.
- A deposit may be required to begin work.
Subscription Plans:
- Subscriptions are billed monthly or annually, based on your selected plan.
- Non-payment or failed billing attempts may result in suspension of services.
Cancellation:
- Custom project agreements may be terminated per the terms of the individual contract.
- Subscription services can be canceled anytime, but website access ends when the subscription is no longer active.
- Upon subscription cancelation, a copy of the database and a backup of uploaded files can be requested.
6. Intellectual Property
All proprietary tools, plugins, code, and designs created by Smartcode remain the property of Smartcode LLC unless explicitly transferred by written agreement. Clients are not permitted to reuse, resell, or distribute Smartcode's proprietary software or designs without permission.
7. Service Availability & Limitations
While we strive to provide uninterrupted service, Smartcode LLC does not guarantee 100% uptime or error-free experiences. We are not liable for any damages resulting from service outages, data loss, or third-party failures.
8. Modifications to Terms
We reserve the right to update these Terms at any time. Updates will be posted on our website. Continued use of our services after changes are posted implies acceptance of those changes.
9. Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the appropriate courts of Florida, US.
